The applicants in a long-standing governance dispute over Kyadondo Rugby Football Club Limited have welcomed a pivotal ruling by the Uganda Registration Services Bureau (URSB).
Delivered on January 22, 2025, by Assistant Registrar Daniel Nasasira, the ruling addressed Company Complaint No. 27635 of 2023, resolving concerns over alleged irregularities in the club’s management.
The decision annulled illegally registered documents, including unauthorized amendments to the club’s Memorandum and Articles of Association.
The applicants stated that the ruling validated their position that the respondents unlawfully presented themselves as directors in an attempt to seize control of the club. They described the decision as a victory for proper governance and an affirmation of the rights of the club’s founding members.
A key aspect of the ruling was the recognition of 39 original members listed in the club’s founding documents as legitimate stakeholders.
URSB directed these members to convene a properly constituted general meeting within 60 days to elect a new Executive Committee.
The applicants praised this directive as a critical step toward restoring accountability and transparency in the club’s governance.
“We are pleased that the ruling upholds the principles of proper governance and protects the rights of Kyadondo Rugby Club’s original members,” the statement read.
The Registrar also emphasized that the upcoming meeting must adhere to Article 17 of the club’s Articles of Association to ensure lawful governance practices.
The applicants voiced their support for this guidance, expressing optimism about the club’s future growth and success under properly constituted leadership.
Speaking on behalf of the applicants, Brian Tabaruka thanked URSB and Assistant Registrar Nasasira for thoroughly reviewing the evidence and ensuring justice prevailed. He reaffirmed the group’s commitment to the values that define Kyadondo Rugby Football Club and called on all club members to unite in fostering collaboration.
In the meantime, the applicants pledged to continue supporting the club’s teams in tournaments and promoting the sport of rugby at Kyadondo. “We urge all members to join us in fostering unity and collaboration as we move forward, guided by the principles enshrined in our founding documents,” the statement concluded.
The signatories to the statement included Emmanuel Baine, Emmanuel Muhangi, Geoffrey Okello, Micheal Okorach, Emmanuel Otim, Winnie Atyang, Desire Derekford Mugumisa, Asha Kalanzi, Daniel Rweyora, and Titus Wambede.
